Before publication, the operator must confirm any remaining required business disclosures, governing law and dispute terms for launch markets, verify the live legal and deletion URLs, and obtain qualified legal review. --- ## 1. Agreement and service This Agreement is between you and Nanjing Junhe E - Commerce Co., Ltd. for MemoFlow's applications, website, APIs, and related services. MemoFlow provides notes and sync, search, attachments, AI and document tools, meeting recording, live interpretation, OCR, export and sharing, memberships, and AI Credits. The Privacy Policy and Subscription Terms form part of this Agreement. The Subscription Terms control membership, Credits, renewal, cancellation, and refund matters; the Privacy Policy controls personal-information processing. By creating an account, accepting a purchase, or using MemoFlow, you agree to these documents. If you do not agree, do not use the service. ## 2. Eligibility and minors You must have the legal capacity required to use the service and make purchases. MemoFlow is not directed to children under 14. Users below the relevant age of majority or digital consent must have all parent or guardian authorization required by local law. Guardians are responsible for appropriate supervision of content, AI, recording, and purchases. ## 3. Accounts and security You may use email verification and password login or supported Apple and Google sign-in. Provide accurate, authorized information; protect your password, devices, codes, and sessions; and promptly report suspected misuse to service@memoflow8.com. Do not sell, lend, automate, or create accounts to evade product, Credits, or security limits. We may request reasonable verification to protect an account or transaction. We may restrict an account where we reasonably detect fraud, abuse, security risk, legal violation, or lack of required eligibility. ## 4. Your content You retain rights in content you lawfully create or upload. You grant MemoFlow and its service providers a limited, non-exclusive permission to host, reproduce, process, transmit, transform, and display that content only as needed to provide, secure, maintain, and improve the features you request or to comply with law. You are responsible for having the rights and permissions needed for your content, recordings, shared files, prompts, and instructions. Do not upload content that is unlawful, infringing, deceptive, malicious, or that violates another person's privacy or confidentiality. ## 5. AI, transcription, translation, and OCR AI output, citations, transcription, translation, speaker labels, OCR, and automated suggestions may be inaccurate, incomplete, outdated, or unsuitable. Review important output and do not rely on it as the sole basis for medical, legal, financial, safety-critical, or other high-impact decisions. You remain responsible for how you use, edit, share, or act on output. MemoFlow may offer different models or providers depending on plan, availability, safety, and region. Features may require network access and may be limited, paused, or degraded when a provider is unavailable. ## 6. Recording and other people Before recording, transcribing, or translating a conversation, clearly notify participants and obtain all consent required by law, contract, workplace policy, or venue rules. Stop if consent is withdrawn. MemoFlow does not determine whether recording is lawful in your circumstances. ## 7. Acceptable use You must not use MemoFlow to break the law; infringe rights; harass, exploit, or deceive; process content without required authority; distribute malware; attack, probe, overload, scrape, or reverse engineer the service except where law expressly permits; bypass safety, usage, membership, or payment controls; manipulate purchases or refunds; impersonate others; or help another person do any of these things. We may apply reasonable technical, safety, fair-use, and anti-abuse limits. Automated access requires our prior written permission unless a published interface expressly allows it. ## 8. Membership, purchases, and Credits Subscriptions and Credits purchased in the mobile app are processed by Apple App Store or Google Play. The store confirmation shows the final price, currency, tax, billing period, and renewal terms. Store subscriptions renew unless cancelled through the relevant store. Uninstalling MemoFlow, signing out, or deleting an account does not cancel a store subscription. Credits are digital service units, not money, and cannot be transferred or redeemed for cash except where law requires. Detailed issuance, use, refund, revocation, and fair-use rules are in the Subscription Terms. ## 9. Intellectual property MemoFlow's software, brand, interface, documentation, and service content—excluding your content and third-party materials—are owned by the operator or its licensors. Subject to this Agreement, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the released application for its intended purpose. Feedback may be used without obligation to you, provided we do not publicly identify you without permission. ## 10. Third-party services MemoFlow relies on app stores, identity providers, infrastructure, email, AI, speech, storage, and external links. Their own terms and policies may apply. We are not responsible for independent third-party content or conduct beyond responsibility that applicable law does not allow us to exclude. ## 11. Availability, changes, and termination We aim to provide a reliable service but do not promise uninterrupted or error-free operation. We may maintain, change, suspend, or discontinue features for security, technical, legal, platform, provider, or business reasons. Where required, we will give reasonable notice and address paid rights under applicable law. You may stop using MemoFlow and request account deletion. We may suspend or terminate access for serious or repeated violation, fraud, security risk, legal obligation, or harm to users or the service. Provisions that by nature should survive—such as ownership, payment reconciliation, disclaimers, liability, and disputes—continue after termination. ## 12. Disclaimers and liability To the extent permitted by law, MemoFlow is provided on an “as available” basis. We do not guarantee that AI output or automated processing is correct or fit for a particular purpose. Nothing in this Agreement excludes warranties, remedies, or liability that applicable law does not permit us to exclude or limit. Final market-specific limitations and consumer disclosures must be reviewed before publication. ## 13. Governing law and disputes Contact service@memoflow8.com first so we can try to resolve a concern. Governing law, forum, arbitration if any, and mandatory consumer-rights language must be completed for each launch market before this Agreement is published. Nothing in the final terms may remove mandatory rights available in your place of residence. ## 14. Changes and contact We may update this Agreement when law, security, features, providers, or the business model changes. Material updates will receive appropriate notice and a new effective date.
